1. Acceptance of these Terms
These Terms of Service (“Terms”) govern your use of the KeyClock web application and website at key-clock.com (the “Service”), operated by KeyClock LLC (“KeyClock,” “we,” “us,” or “our”).
By creating an account and using the Service, you agree to these Terms and acknowledge that you have read our Privacy Policy. To create an account, you must confirm your agreement as part of registration. If you do not agree, do not create an account or use the Service.
These Terms do not require you to waive any nonwaivable rights you have under applicable law.
2. Eligibility and parent or guardian permission
You must be at least 13 years old to use KeyClock. If you are under 18, you must have permission from your parent or legal guardian, and that person should review these Terms with you. Additional age or consent requirements may apply where you live.
We do not treat your self-confirmation as verified parental consent. You represent that you meet these requirements and that you are not prohibited from using the Service under applicable law.
3. Your account
You are responsible for safeguarding your account credentials and for all activity under your account, for providing accurate information, and for notifying us of any unauthorized use. We may suspend or close accounts that violate these Terms.
4. Permitted use and prohibited misuse
You may use the Service for lawful personal, educational, and professional musical activities, including practice, teaching, lessons, rehearsals, recording, and paid performances. You will not:
- ·Resell or redistribute access to the Service without our permission.
- ·Use the Service to infringe anyone’s rights or upload unlawful, infringing, or harmful content.
- ·Reverse engineer, decompile, or attempt to extract the Service’s source or models.
- ·Interfere with or overload the Service, or circumvent its billing or access controls.
- ·Use automated means to scrape or access the Service beyond normal use.
Using KeyClock — including its key-detection, transposition, and song-identification results — does not grant you any rights or licenses to third-party recordings or compositions, or to any musical work, sound recording, or other content you do not own or control.
5. Your rights in uploaded material
You retain any rights you hold in audio you provide to the Service. You are responsible for ensuring you have the rights to upload it and that doing so does not infringe the rights of others.
6. Permission to process your uploads (limited)
You grant KeyClock a limited permission to process the audio you provide solely to operate the Service for you — that is, key detection, transposition, and, when you separately consent, song identification. This permission does not transfer ownership of your audio to us and does not include any license to use your audio for unrelated purposes or to train KeyClock’s own models.
7. KeyClock intellectual property
The Service, its software, features, design, and trademarks are owned by KeyClock or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose in accordance with these Terms. These Terms do not transfer any ownership to you.
8. Accuracy limitations of musical detection and recognition
Key detection, song recognition, confidence scores, transposition results, and voice output may contain errors and may not match your own judgment. You should verify results before relying on them in rehearsals, performances, recordings, or any situation where accuracy matters. KeyClock is an aid to practice, not a substitute for your own ear and judgment.
9. Subscriptions, billing, trial, and cancellation
KeyClock Pro is offered as a monthly plan ($14.99/month) and an annual plan ($119.99/year), each with a 7-day free trial. A payment method is required to start the trial. Payment is processed by Stripe.
Your trial and subscription renew automatically until you cancel. You can cancel at any time from Settings → Manage Billing (the Stripe Billing Portal). Canceling before the trial ends prevents the first paid charge. Canceling during a paid billing period keeps your access through the end of that period and prevents the next renewal.
10. Refund policy
Subscription payments are ordinarily nonrefundable, except where applicable law requires otherwise.
You may contact info@key-clock.com to request review of an accidental purchase, a duplicate charge, a billing error, or a significant service failure. Discretionary refunds are reviewed individually; we do not guarantee that every request will be approved.
Canceling prevents future renewal and does not automatically refund prior charges. Canceling during a free trial before it ends prevents the first paid charge. Canceling during a paid period keeps access through the end of that period and does not refund that period, except as required by law or as we may decide at our discretion.
Starting a trial or agreeing to these Terms does not waive any statutory withdrawal, cancellation, or refund rights you may have under applicable law.
If KeyClock permanently discontinues a prepaid service, we will provide a prorated refund of the unused prepaid period, subject to applicable law.
11. Suspension and termination
You may stop using the Service at any time. You can delete individual detected-song records from History within the app; for broader deletion of your account and data, contact info@key-clock.com (full account deletion is not currently a self-service feature). We may suspend or terminate your access if you breach these Terms, to comply with legal requirements, or if we discontinue the Service, with notice where appropriate.
12. Warranty and service availability
We strive to keep the Service available but do not guarantee that it will be uninterrupted, timely, secure, or error-free. To the extent permitted by law, the Service is provided “as is” and “as available,” without warranties of a particular kind, and we do not promise that results will meet your needs or be accurate. Some jurisdictions do not allow certain warranty exclusions, so some of these limits may not apply to you.
13. Limitation of liability and mandatory consumer rights
To the extent permitted by law, KeyClock’s liability for damages arising from your use of the Service is limited. These Terms do not include an arbitration clause, a class-action waiver, or an exclusive venue provision. Nothing in these Terms excludes or limits any liability that cannot be lawfully excluded, including liability for gross negligence, willful misconduct, or mandatory statutory consumer protections.
14. Changes to these Terms
We may update these Terms and will post the current version with a new effective date. For material changes, we will provide notice in the Service or by other reasonable means where required. Your continued use of the Service after a change takes effect means you accept the updated Terms to the extent permitted by law. If you do not agree to the updated Terms, you should stop using the Service.
